Terms of Sale

These terms of sale apply to purchases of subscriptions and one-off products from Sparro and supplement our general Terms of Service.

The parties

Seller: Ceero ApS (CVR 45 44 13 93), Njalsgade 21F, 2. sal, Copenhagen, referred to as "Sparro". Buyer: the business holding a valid CVR number that creates an account and purchases a subscription or one-off service from Sparro.

Pricing and payment

All prices at sparro.dk/pris are listed in Danish kroner, excluding VAT. Subscriptions are billed monthly in advance, via Stripe or MobilePay (Vipps MobilePay), depending on your choice at signup. Choosing MobilePay sets up a recurring payment agreement that automatically charges the agreed amount each month. One-off purchases, such as company-formation document packs, are paid in full at the time of order.

Delivery

Sparro is a digital service. Access to the platform is granted immediately once your payment is approved and your account is created. For a company-formation pack, the associated documents (articles of association, memorandum, etc.) are delivered digitally once you've answered the required questions — typically within minutes.

Subscription term and cancellation

Subscriptions have no minimum term. You can cancel at any time, effective at the end of the current billing period — you won't be charged for periods after cancellation, and the current period isn't refunded. Cancelling freezes your account (read-only), and your data is retained for 30 days, after which non-statutory data is deleted; bookkeeping records remain subject to the 5-year retention rule under the Danish Bookkeeping Act — see our Privacy Policy. Changing plans takes effect from the next billing period.

Right of withdrawal

Sparro can only be purchased by businesses holding a valid CVR number, and purchases are made as part of your business activity. The statutory right of withdrawal under the Danish Consumer Contracts Act therefore doesn't apply to purchases from Sparro, as you aren't acting as a consumer within the meaning of that act. Regardless, you can always cancel your subscription without being tied to a minimum term, as described above.

Returns and refunds

As Sparro is a digital service with no physical goods, there's no possibility of returning a purchase. Paid subscription periods aren't refunded, not even in part, if you cancel partway through a period. If you've been charged in error or twice, contact us at nicklas@ceero.eu and we'll correct it.

Complaints

If you experience errors or defects in the service, contact us at nicklas@ceero.eu. We aim to respond as quickly as possible, and no later than within 5 business days. If you're unhappy with how we've handled your complaint, you can complain to the Danish Center for Complaint Resolution (Center for Klageløsning, Nævnenes Hus, Toldboden 2, 8800 Viborg, naevneneshus.dk), or — if you're a consumer resident in another EU country — via the European Commission's ODR platform at ec.europa.eu/consumers/odr.

Disputes and governing law

These terms of sale are governed by Danish law. Any dispute that can't be resolved amicably will be settled in the Danish courts, as also set out in our general Terms of Service.
